1. WHO WE ARE

2. WHAT THIS POLICY COVERS

This Privacy Policy explains how COVERCALL LTD ("we", "us", "our") collects, uses, stores, shares, and protects your personal data when you use the StandBye mobile application ("the App", "StandBye") on any device. By downloading, installing, or using StandBye, you confirm that you have read and understood this Privacy Policy. If you do not agree, please do not use the App. This policy applies to all users worldwide. Where you are located in the United Kingdom or European Economic Area (EEA), additional rights apply under UK GDPR and EU GDPR respectively, as detailed in Section 14. Rights available to users in other regions are also described in Section 14. The App is available in seven languages (English, Spanish, French, German, Italian, Portuguese, and Dutch). This Privacy Policy is drafted in English. Any translation is provided for convenience only; the English version prevails in the event of any inconsistency.

 

3. INFORMATION WE COLLECT

3.1 Information You Provide Directly Email address — used for account creation and sign-in via a one-time passcode (OTP). Display name — used to personalise your experience and identify you to your accepted friends. Profile photograph — optional. Only visible to your accepted friends, and only if you enable the "Show photo to friends" setting. Custom callers and custom excuses — stored on your device to personalise your Excuse Call experience. The text of a custom excuse is sent to our AI voice provider during a call so the AI can use it in conversation. Destination names — when you set a destination for a journey or check-in, the destination name may be sent to our servers and included in notifications to your chosen friends (for example, "arrived safely" alerts). Check-in details — when you set a safety check-in: the check-in deadline, an optional note, and the friends you choose to alert. Meet-up details — when you create a meet up on the Friend Map ("Meet here" / "Meet At"): the meeting point (its name and coordinates, whether you chose your own location, searched for a place, tapped a venue on the map, or dropped a pin), the meeting time, an optional note you write, the friends or Friend Circles you invite, and, once you accept a meet up, your chosen travel mode (walking, car, bus, or train). Friend labels — optional names or labels you give to your connected friends. In-app feedback — if you submit feedback through the App: your feedback text, category, app version, and platform. Your gender and voice preference settings are stored locally on your device and are not stored on our servers; however, they are transmitted to our AI voice provider during an AI call to personalise the conversation, as described in Section 3.4.

3.2 Information Collected Automatically Device Install ID — a randomly generated identifier stored securely on your device (in your device's secure storage, such as the iOS Keychain). It is used to recognise your device and to enforce the one-time free trial. It does not identify you personally. A one-way cryptographic hash (SHA-256) of this identifier is used server-side to verify session ownership and prevent abuse. Push notification token — a token used to deliver notifications (such as friend alerts, SOS alerts, arrival alerts, and missed check-in alerts) to your device via Expo's and Apple's push notification services. Subscription and purchase data — subscription tier, product identifier, and transaction reference, processed via RevenueCat and Apple's App Store. We never see your payment card details. Call session data — session type (excuse or guardian), the fictional caller persona name, call status, start and end times, and seconds of call time used, for billing and enforcing plan limits. Session status data — during an active safety session, limited status information such as your device's battery level may be sent to our servers so your friends can receive a low-battery alert. App language and notification preferences — so notifications and content are delivered in your chosen language and according to your settings. IP addresses — may be processed transiently by our hosting and infrastructure providers for security, fraud prevention, and abuse prevention. We do not use IP addresses to build profiles about you.

3.3 Location Data Location is only collected when you actively use a location feature: starting a Guardian Watch session or Safety Session (a "journey"), going live on the Friend Map, joining a meet up, triggering an SOS alert, or setting a safety check-in. Specifically: When a journey is active, your GPS coordinates (latitude and longitude) are sent to our servers approximately every 10 seconds, or when your device detects that you have moved approximately 15 metres, whichever your device reports first. Location updates are movement-based on many devices: if you are stationary, your device may pause sending new location points until you move again. Location data is shared in real time with the friends you have chosen, for the duration of the active session only. Location sharing stops when you end the session. If you lose mobile signal, data connectivity, or GPS signal, or your battery dies, location updates cannot be sent and your friends may see an outdated position or a gap in your journey. Server-side location breadcrumbs (latitude and longitude points with timestamps) are retained for a maximum of 24 hours so that your friends can view a recent journey. They are automatically and permanently deleted from our servers on a rolling basis once they are 24 hours old. If you choose to go live on the Friend Map, your current position is shared with your chosen friends while you remain live. Only your most recent position is kept, and it is deleted from our servers within 24 hours. If you create or accept a meet up on the Friend Map and choose to share your location, your position, your calculated route to the meeting point, your estimated time of arrival, and your chosen travel mode are shared with the other people in that meet up, for the duration of the meet up only. This is only shared with people who are mutually connected to you as accepted friends and who have themselves accepted the meet up. Anyone who declines the invitation, or does not respond to it, receives none of your location or route data. You can also accept a meet up without sharing your location at all, in which case you can still see the friends who have chosen to share theirs. When you arrive at a meeting point (detected when you come within approximately 20 metres of it), your friends in that meet up are notified, and your location stops being shared with them approximately 15 minutes after you arrive. If you leave or cancel a meet up, your location and route stop being shared with the other participants immediately. In both cases, location sharing continues only if you are separately live on the Friend Map or running a journey. If you trigger an SOS alert, your most recent available location is sent to all of your accepted friends as part of the alert (see Section 4). If you press SOS while you have no mobile signal or data connection, your device records the exact GPS position at the moment you pressed it, and continues to record your position locally on your device while it waits for a connection. As soon as connectivity returns, that press location and the route recorded since are sent to our servers and the alert is delivered to your accepted friends, so they can see where you were when you pressed SOS and where you went afterwards. If you delete the App before connectivity returns, that queued data is deleted with it and never reaches our servers. When you tap "Arrived Safely", a one-time notification (including your destination name, if you set one) is sent to your chosen friends. If you set a safety check-in and do not confirm you are safe by the deadline, your chosen friends receive an alert that may include your last-known location and your check-in note. Journey history (date, time, duration, route points) is stored locally on your device only and is never uploaded to our servers as history. It is automatically deleted from your device after 7 or 14 days (your choice; the default is 7 days). We do not track your location in the background outside of an active session or live sharing, and we do not sell location data or retain it persistently on our servers. If you search for a destination or a meeting point within the App, your search text is sent to Google Maps Platform to return address suggestions and routes (see Section 7). If you tap a venue or pin on the map, the coordinates of that point are sent to Google Maps Platform so we can identify the place and show you its name, address, star rating, and a short description of what it is.

3.4 Voice, Audio, and Transcript Data

When you use Excuse Calls or Guardian Voice:

Your voice audio is streamed in real time to our AI voice provider, ElevenLabs, whose conversational AI platform powers all AI voice calls in the App.

To personalise each call, the following information is also transmitted to ElevenLabs at the start of, and during, a call: your first name or display name; your gender (only if you have chosen to provide one); your app language; your chosen voice, accent, and pacing preferences; the fictional caller persona you have configured (its name, its relationship to you, and its voice settings); the text of any excuse you have selected or written; and general call context such as the time of day. This information is used solely to generate a natural, personalised conversation — for example, so the AI can address you by name and speak in your language — and for no other purpose. We never send your location, your contacts, your email address, or any information about your friends to ElevenLabs.

The conversational responses are generated by third-party large language models operated within ElevenLabs' platform as its sub-processors. These currently include Google's Gemini and may also include Anthropic's Claude.

We obtain your agreement to this processing in the App before you can place any AI call, and iOS separately asks for your permission before the microphone is used. You can decline or withdraw at any time by not using the AI call features, disabling microphone access in your device settings, or deleting your account.

We do not store, record, or retain your voice audio on our servers. Audio streams directly between your device and the provider. Call transcripts (a text record of what was said) are generated by the provider to run the conversation. Transcripts are retained by ElevenLabs for up to 30 days for quality assurance, abuse prevention, and support purposes, after which they are automatically deleted. We do not store transcripts in our own database. Neither we nor ElevenLabs use your voice audio, personalisation details, or transcripts for advertising. Calls are authenticated using short-lived signed URLs and tokens minted by our servers; these expire within minutes and are not reusable. Your account credentials and our provider API keys are never exposed to your device. We receive only call metadata (session ID, start and end time, duration, and session type) for billing purposes.

4. SOS ALERTS

StandBye includes an SOS feature. When you press and hold the SOS button, an urgent alert is sent to all of your accepted friends. This alert includes your most recent available location and starts a location-sharing session if one is not already running. SOS alerts are deliberately designed to override normal notification mute settings between friends. Important: SOS alerts are delivered by push notification over the internet. Delivery, receipt, and viewing of an SOS alert can never be guaranteed. An SOS alert may fail or be delayed because of loss of mobile signal or data, your friends' device settings, their phones being off or out of coverage, or failures in third-party notification services. Your friends may not see or act on an alert. SOS does not contact the police or any emergency service. In a genuine emergency, always call your local emergency services. Offline SOS: if you press SOS with no signal or data connection, the App saves the exact position at which you pressed it and keeps recording your route on your device. The alert is then sent automatically as soon as a connection is available, and includes your press location and the route recorded since. This means an alert triggered without signal is not lost — but it is also not delivered until connectivity returns, and that may take minutes, hours, or may never happen if your device is switched off, runs out of battery, is destroyed, or never regains a connection. Offline SOS is a best-effort backup and must never be relied upon to summon help in an emergency. You must have at least one accepted friend for SOS to send an alert to anyone.

 

5. HOW WE USE YOUR INFORMATION

We use your information for the following purposes, with the corresponding legal bases under UK and EU GDPR: Creating and managing your account — performance of a contract. Authenticating you via email one-time passcode — performance of a contract. Enabling AI voice calls (Excuse Calls, Guardian Voice) — performance of a contract. Sharing your location, SOS alerts, arrival status, and check-in alerts with your accepted friends — performance of a contract; legitimate interests (user safety). Organising meet ups on the Friend Map and sharing your route, ETA, and arrival status with the friends in that meet up — performance of a contract; legitimate interests (user safety). Holding an SOS alert and its recorded route on your device while you have no signal, and delivering it once connectivity returns — performance of a contract; legitimate interests (user safety). Processing subscriptions and managing call minutes — performance of a contract. Sending push notifications (friend alerts, SOS alerts, arrival alerts, meet-up invitations and updates, missed check-in alerts) — legitimate interests; consent where required. Preventing fraud, abuse, trial re-use, and unauthorised access — legitimate interests. Responding to feedback and support requests — legitimate interests. Complying with legal obligations — legal obligation. Improving and maintaining the App — legitimate interests. We do not use your personal data for advertising, we do not use profiling for marketing purposes, and we do not sell your personal data to third parties.

 

6. HOW WE STORE AND PROTECT YOUR DATA

All data transmitted between the App and our servers is encrypted in transit using TLS 1.2 or higher. Your account data is stored securely in Supabase (a cloud database provider). Access is restricted by row-level security policies. Your Device Install ID is stored in your device's secure storage (the Keychain on iOS or equivalent secure storage on Android). Friend invite codes are stored as one-way cryptographic hashes on our servers; only the last four digits are kept in readable form so you can recognise your own code. Call minute balances and session records are validated server-side and cannot be altered by the client. We apply server-side usage limits and other technical controls to prevent abuse. Retention: we retain your personal data for as long as your account is active or as necessary to provide the Service or comply with law. Call session records are retained for billing reconciliation while your account is active and are deleted when you delete your account. Server-side location breadcrumbs are automatically deleted once they are 24 hours old. Meet-up records (meeting point, time, note, participants, last position, and route) are closed automatically within 12 hours of the meeting time and deleted when you delete your account. Call transcripts are held by ElevenLabs for a maximum of 30 days. Journey history exists only on your device and auto-deletes after 7 or 14 days. No security measure is perfect. While we take appropriate technical and organisational measures to protect your data, we cannot guarantee absolute security.

 

7. THIRD-PARTY SERVICES

We share data with the following service providers strictly to operate the App. We do not sell your data to any third party. Supabase — database, authentication, and backend hosting. Data shared: email, display name, profile photo, friend connections, session records, location breadcrumbs, check-ins, meet ups (meeting point, time, note, participants, routes and ETAs), call records, push tokens, feedback. 8. LOCATION DATA — EXTENDED DISCLOSURE

Given the sensitive nature of location data, we provide the following additional disclosures: Location is only collected when you actively start a journey (Guardian Watch or Safety Session), go live on the Friend Map, join a meet up and choose to share your location, trigger SOS, or set a safety check-in. Location is never collected in the background outside of an active session or live sharing. Location breadcrumbs are transmitted to our servers and shared with your accepted friends in real time. Once a session ends, location transmission stops. Server-side breadcrumbs are retained for up to 24 hours to allow friends to view a recent journey and are then automatically deleted from our servers. Missed check-in alerts and SOS alerts may include your last-known location so your friends can help you. In a meet up, your location, route, ETA, and travel mode are shared only with people who are mutually connected to you as accepted friends and who have accepted the same meet up. People who decline or do not respond receive nothing. Sharing ends approximately 15 minutes after you arrive at the meeting point, or immediately if you leave or cancel the meet up. You can accept a meet up without sharing your location, and still see the friends who have chosen to share theirs. If you press SOS with no connectivity, your press location and subsequent route are held on your device only until a connection is available, and are then sent so your friends can see them. Nothing is transmitted while you are offline. You can stop location sharing at any time by ending your session, leaving the meet up, or going off the Friend Map within the App. Location accuracy and availability depend on your device's GPS, mobile network, and internet connectivity. Loss of signal, poor GPS conditions, low battery, battery-saving modes, or airplane mode will prevent location updates from being sent. We do not use location data for any purpose other than the safety features described in this policy.

 

9. VOICE AND TRANSCRIPT DATA — EXTENDED DISCLOSURE

All AI calls (Excuse Calls and Guardian Voice) are processed by ElevenLabs' conversational AI platform, with responses generated by large language models operating as ElevenLabs' sub-processors (currently Google's Gemini, and potentially Anthropic's Claude). StandBye does not intercept, store, or analyse the audio content of your calls on its own servers. We receive only metadata: session ID, start time, end time, duration, and session type, for billing purposes. Transcripts are retained by ElevenLabs for up to 30 days and then automatically deleted. Transcripts are used only for service quality, abuse prevention, and support — never for advertising. Our AI providers process voice data in accordance with their own privacy policies (linked in Section 7). We recommend reviewing them for full details. You can end any call at any time by pressing the End Call button.

 

10. PUSH NOTIFICATIONS

With your permission, we send push notifications such as: alerts that a friend has started sharing their location or is heading out, SOS alerts, "arrived safely" and "got home safe" alerts, "a friend is on their way to you" alerts, low-battery alerts during a friend's session, and missed check-in alerts. Notifications are delivered via Expo's and Apple's push notification services in your chosen App language. Meet ups generate their own notifications: an invitation when a friend invites you to meet somewhere (including any note they wrote), a confirmation when someone accepts your invitation, a reminder 30 minutes before a meeting time that was set more than an hour in advance, an alert when a friend in the meet up is around 5 minutes away, and an alert when they arrive at the meeting point. You can disable or mute most notifications in your device settings or within the App, but disabling notifications will prevent you from receiving friends' safety alerts. SOS alerts are designed to bypass in-app mute settings, but they still cannot be delivered if notifications are disabled at device level or the device is offline. Delivery of any notification can never be guaranteed.

 

11. CHILDREN'S PRIVACY

StandBye is not intended for use by persons under the age of 18. We do not knowingly collect personal data from anyone under 18. If you believe a child has provided us with personal data, please contact us at support@standbyeapp.com and we will delete it promptly.

 

12. DATA TRANSFERS

COVERCALL LTD is based in the United Kingdom. Your data may be processed and stored in data centres located in the United States (via Supabase, ElevenLabs, Google, Anthropic, RevenueCat, and Expo) and potentially other countries. Where data is transferred outside the UK or EEA, we rely on appropriate safeguards including the UK International Data Transfer Agreement/Addendum, Standard Contractual Clauses (SCCs), or equivalent transfer mechanisms approved by the UK Information Commissioner's Office (ICO) or the relevant EEA supervisory authority.

 

13. COOKIES AND TRACKING

The StandBye mobile application does not use cookies. We do not use third-party analytics SDKs or advertising networks within the App. A persistent Device Install ID is stored locally on your device in secure storage as described in Section 3.2. Our website (standbyeapp.com) may set strictly necessary cookies required for it to function.

 

14. YOUR RIGHTS

14.1 UK and EU/EEA Users (UK GDPR / EU GDPR) You have the right to: Access — request a copy of the personal data we hold about you. Rectification — request correction of inaccurate data. Erasure ("Right to be Forgotten") — request deletion of your personal data. Restriction — request that we limit how we use your data. Portability — receive your data in a structured, machine-readable format. Object — object to processing based on legitimate interests. Withdraw consent — where processing is based on consent, withdraw it at any time without affecting prior processing. To exercise any of these rights, contact us at support@standbyeapp.com. We will respond within 30 days. If you are unsatisfied with our response, you have the right to lodge a complaint with the UK Information Commissioner's Office (ICO) at www.ico.org.uk or your local EEA supervisory authority.

14.2 California Users (CCPA/CPRA) California residents have the right to: know what personal information is collected; know whether personal information is sold or shared and to whom (we do not sell or share personal information for advertising purposes); opt out of the sale or sharing of personal information (not applicable — we do not sell or share it); request correction or deletion of personal information; limit the use of sensitive personal information (we use precise location only to provide the safety features you request); and non-discrimination for exercising these rights. 14.3 Other US States Residents of other US states with comprehensive privacy laws (including Virginia, Colorado, Connecticut, Utah, and Texas) have similar rights of access, correction, deletion, and portability, which you can exercise by contacting support@standbyeapp.com.

14.4 Other Regions If you are located in Canada (PIPEDA), Brazil (LGPD), Australia (Privacy Act 1988), or another jurisdiction with data protection laws, you may have equivalent rights of access, correction, and deletion under your local law. Contact support@standbyeapp.com to exercise them, and we will honour your request in accordance with applicable law.

 

15. ACCOUNT DELETION

You can delete your account and all associated personal data directly in the App: go to Settings, then Delete Account. Deletion is processed immediately and removes your email, display name, profile photo, call session records, minute balances, location data, check-ins, meet ups and meet-up participation records, invite codes, friend connections, and feedback from our servers, and deletes your subscription record with RevenueCat. Deletion is permanent and irreversible. Alternatively, email support@standbyeapp.com with the subject line "Account Deletion Request" and we will process your request within 30 days and confirm deletion.

 

16. CHANGES TO THIS PRIVACY POLICY

We may update this Privacy Policy from time to time. Where changes are material, we will notify you via the App or by email. The date at the top of this page indicates when the policy was last updated. Continued use of the App after changes are posted constitutes your acceptance of the updated policy.

TERMS OF SERVICE

1. AGREEMENT TO TERMS

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and COVERCALL LTD (company number 16956211, registered in England and Wales) ("COVERCALL", "we", "us", "our") governing your use of the StandBye mobile application ("the App", "StandBye"). By downloading, installing, accessing, or using StandBye, you confirm that you are at least 18 years old (or the age of majority in your jurisdiction), that you have read and understood these Terms, and that you agree to be bound by them. If you do not agree to these Terms, do not download or use the App. These Terms are drafted in English. Any translation is provided for convenience only; the English version prevails in the event of any inconsistency.

2. NOT AN EMERGENCY SERVICE — CRITICAL DISCLAIMER IMPORTANT: PLEASE READ CAREFULLY

StandBye is NOT an emergency service. It is NOT a substitute for calling emergency services, and it is not connected to the police or any emergency responder. If you or anyone else is in immediate danger, call your local emergency services immediately (for example 999 in the UK, 911 in the USA, 112 in the EU). StandBye provides AI-generated simulated phone calls, location sharing with friends, meet ups on the Friend Map, SOS alerts, safety check-ins, and AI voice companionship. These features are designed to assist in personal safety situations but cannot guarantee your safety and should never be relied upon as your sole means of seeking help in an emergency. All alerts and notifications sent to your friends — including SOS alerts, session alerts, arrival alerts, and missed check-in alerts — depend on third-party push notification services, mobile networks, internet connectivity, GPS availability, device battery, and your friends' device settings. Delivery of any alert, including an SOS alert, cannot be guaranteed, and there is no guarantee that any alert will be seen, read, or acted upon by your friends. Alerts are informational only; COVERCALL does not monitor sessions, does not contact emergency services on your behalf, and has no obligation to act on any alert. The App requires a working internet connection and, for location features, GPS signal. Loss of mobile signal or data, poor GPS conditions, airplane mode, battery-saving modes, low or dead battery, revoked permissions, or device or network failures will prevent some or all of the App's features — including SOS alerts, location sharing, check-in alerts, and AI calls — from working partially or entirely. Where the App holds an SOS alert on your device because you had no signal when you pressed it, that alert is not sent to anyone until connectivity returns. It may be delayed indefinitely and may never be delivered — for example if your device is switched off, loses power, is damaged or lost, or never regains a connection. This offline behaviour is a best-effort backup only and is not a means of summoning help. COVERCALL LTD accepts no liability for any failure of the App to function in an emergency or for any harm arising from reliance on the App in an emergency situation.

3. AI-GENERATED CONTENT DISCLOSURE

StandBye uses artificial intelligence to generate voices and conversation in its Excuse Call and Guardian Voice features, powered by third-party AI providers (ElevenLabs and its large language model sub-processors, currently including Google's Gemini and potentially Anthropic's Claude). You acknowledge and agree that: All callers in AI calls are fictional AI-generated personas and do not represent real people. The voices you hear are AI-generated and are not recordings of real humans. Conversations generated by the AI may be imperfect, unexpected, or contextually incorrect. Transcripts of AI calls are processed and retained by our AI provider for a limited period (up to 30 days) as described in our Privacy Policy. The AI is designed for companionship and personal safety purposes only and must not be treated as professional advice of any kind (medical, legal, psychological, or otherwise).

 

4. ELIGIBILITY

To use StandBye you must: be at least 18 years old, or the applicable age of majority in your jurisdiction; have the legal capacity to enter into a binding agreement; and not be prohibited from using the App under applicable law. By using the App you represent and warrant that you meet these requirements.

 

5. ACCOUNT REGISTRATION

You must provide a valid email address to create an account. Sign-in is via a one-time passcode sent to your email. You are responsible for maintaining the confidentiality of your account and email inbox. You are responsible for all activity that occurs under your account. You must notify us immediately at support@standbyeapp.com if you suspect any unauthorised use of your account. We reserve the right to suspend or terminate your account if we believe it has been compromised or used in violation of these Terms.

 

6. ACCEPTABLE USE

You agree to use StandBye only for lawful purposes and in accordance with these Terms. You must NOT: Use the App in any way that violates applicable local, national, or international law or regulation. Use the App to harass, intimidate, threaten, stalk, or harm any other person. Trigger SOS alerts or create fake emergency situations that cause others unnecessary distress, or misuse safety features in any way. Attempt to reverse engineer, decompile, or extract the source code of the App. Attempt to circumvent subscription checks, minute limits, free-trial limits, or any server-side controls. Use the App to impersonate any person or entity in a manner intended to deceive or defraud. Use the App while driving a vehicle or operating heavy machinery in a manner that creates a safety risk. Resell, redistribute, or commercially exploit the App or its content without written permission. Attempt to overload, disrupt, or interfere with the App's servers or infrastructure. Use the AI features to generate unlawful, abusive, or harmful content, or in breach of our AI providers' acceptable-use policies.

 

7. SUBSCRIPTIONS AND PAYMENTS

7.1 Subscription Plans StandBye offers the following plans: Free ($0) — Guardian Watch location sharing, the Friend Map and meet ups, SOS alerts, safety check-ins, up to 3 trusted friends, and one trial Excuse Call of approximately 30 seconds. Essential ($4.99 per month) — everything in Free, plus up to 20 trusted friends, Friend Circles and Favourites, and 5 minutes of Excuse Calls per month. Secure ($9.99 per month) — everything in Essential, plus Guardian Voice, and 12 minutes of Excuse or Guardian calls per month. Protected ($14.99 per month) — everything in Secure, with 20 minutes of Excuse or Guardian calls per month. Prices are shown in US dollars; the price you pay is set by Apple's App Store for your region and may vary. Prices and plan allowances are subject to change with reasonable notice. From time to time we may allocate more call time than the advertised minimum at our discretion; any extra allowance is a goodwill gesture and not a contractual entitlement.

7.2 In-App Purchases and Billing All subscriptions are purchased through Apple's App Store and are subject to Apple's payment terms. Subscription status is managed on our behalf by RevenueCat. Payment is charged to your Apple ID account at confirmation of purchase. Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period. You can manage and cancel subscriptions in your Apple ID Account Settings. We do not process payment information directly and have no access to your payment card details. If the App becomes available through other platforms or stores, purchases made there will be subject to that platform's payment terms.

7.3 Call Minutes Call minutes are allocated per calendar month and do not roll over to the following month. Excuse Calls and Guardian Voice calls draw from the same pool of minutes. Usage is measured in seconds and rounded up to the next full minute for billing purposes. Individual calls are subject to a per-call time limit depending on your plan. Guardian Watch location sharing, the Friend Map, meet ups, SOS alerts, safety check-ins, and arrival alerts are always free and do not use call minutes. Minutes are tracked and deducted server-side; any attempt to manipulate minute balances is a violation of these Terms. COVERCALL reserves the right to limit or suspend call time in cases of suspected abuse.

7.4 Refunds Refund requests for in-app purchases must be made directly to Apple Inc. through the App Store. COVERCALL does not directly process refunds for App Store purchases. In exceptional circumstances, you may contact us at support@standbyeapp.com and we will do our best to assist.

7.5 Free Trial The Free tier includes a one-time trial call of approximately 30 seconds. This trial is available once per account and once per device. Attempting to obtain additional free trials by creating multiple accounts or resetting devices is a violation of these Terms.

 

8. FRIEND SYSTEM

The friend system uses 6-digit invite codes. By connecting with another user, you agree to share your session activity, SOS alerts, arrival alerts, meet-up invitations and updates, and check-in alerts with them as described in these Terms and our Privacy Policy. Free accounts may connect with up to 3 trusted friends; paid plans allow up to 20, plus Friend Circles and Favourites. You are responsible for only sharing invite codes with people you know and trust. You can remove any friend at any time from within the App. COVERCALL accepts no liability for misuse of the location-sharing or alert features by accepted friends.

 

9. LOCATION SHARING, MEET UPS, SOS, AND SAFETY CHECK-INS

Location sharing is entirely optional and user-initiated. You agree that when you start a journey (Guardian Watch or Safety Session) or go live on the Friend Map, your real-time location is shared with your chosen friends, and that when you tap "Arrived Safely" a notification (including any destination name you set) is sent to them. You agree that when you create or accept a meet up and choose to share your location, your position, route, estimated time of arrival, travel mode, and arrival at the meeting point are shared with the other participants who are mutually connected to you as accepted friends and who have accepted the same meet up. You may accept a meet up without sharing your location, and you may leave or cancel a meet up at any time, which stops your location and route being shared with the other participants immediately. You agree that any note you add to a meet up is included in the invitation and notifications sent to the friends you invite, and that you are responsible for the content of that note. You agree that when you trigger an SOS alert, an urgent notification including your most recent available location is sent to all of your accepted friends, overriding normal notification mute settings between friends where technically possible. You acknowledge that if you press SOS without signal or data, the alert is stored on your device and sent only once connectivity returns, that this delay may be indefinite, and that delivery in these circumstances cannot be guaranteed. If you set a safety check-in and do not confirm you are safe by your chosen deadline, an alert — which may include your last-known location and your check-in note — is sent to your chosen friends. You acknowledge that the accuracy and availability of location data depend on your device's GPS, mobile network, battery, and internet connectivity, which we cannot guarantee, and that loss of signal or connectivity will prevent location updates and alerts from being sent. You acknowledge that SOS alerts, location sharing, meet-up alerts, and check-in alerts are delivered on a best-effort basis, that delivery cannot be guaranteed, that your friends may not see or act on any alert, and that none of these features is a guarantee of safety or a substitute for contacting emergency services.

 

10. INTELLECTUAL PROPERTY

All content, design, software, trademarks, logos, and materials within StandBye are the property of COVERCALL LTD or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the App for personal, non-commercial purposes in accordance with these Terms. You may not copy, modify, distribute, sell, sublicense, or create derivative works from any part of the App without our express written permission.

 

11. USER-GENERATED CONTENT

Where you provide content to the App (such as a profile photograph, custom caller, custom excuse, check-in note, or feedback), you: retain ownership of that content; grant COVERCALL LTD a limited, non-exclusive, worldwide licence to store, process, and display it solely for the purpose of providing the Service (including transmitting excuse text to our AI provider during a call and delivering your notes to your chosen friends); confirm that the content does not infringe any third-party rights, is not unlawful, and does not violate these Terms; and understand that profile photographs are only visible to accepted friends, and only if you have enabled the "Show photo to friends" setting.

 

12. DISCLAIMERS

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COVERCALL LTD DISCLAIMS ALL WARRANTIES INCLUDING, WITHOUT LIMITATION:

Warranties of merchantability, fitness for a particular purpose, and non-infringement. That the App will be uninterrupted, error-free, or free of viruses. That AI-generated voices or conversations will be accurate, appropriate, or uninterrupted. That location data will be accurate or available at all times. That routes, estimated times of arrival, or venue information (including names, star ratings, opening times, and descriptions supplied by Google Maps Platform) will be accurate, current, or complete. That push notifications or alerts — including SOS alerts — will be delivered, seen, or delivered promptly, to you or your friends. That the App will function in all environments, networks, signal conditions, or on all devices, including where mobile signal, data connectivity, or GPS is degraded or unavailable.

 

13. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: COVERCALL LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE APP, INCLUDING ANY FAILURE OR DELAY OF LOCATION SHARING, NOTIFICATIONS, SOS ALERTS, OR OTHER ALERTS. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM YOUR USE OF THE APP EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) £50 GBP. NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE, FRAUD, OR FRAUDULENT MISREPRESENTATION, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED BY ENGLISH LAW.

 

14. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless COVERCALL LTD, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with: your use of the App; your violation of these Terms; your violation of any third party's rights; or any content you submit or transmit through the App.

 

15. TERMINATION

We reserve the right to suspend or terminate your access to the App at any time, with or without notice, if: you breach these Terms; we reasonably believe your account has been compromised; we are required to do so by law; or we discontinue the App. Upon termination, your right to use the App ceases immediately. You may delete your account at any time in the App (Settings, then Delete Account) or by contacting support@standbyeapp.com.

 

16. APPLE APP STORE TERMS

These Terms are between you and COVERCALL LTD only, not with Apple Inc. ("Apple"). Apple is not responsible for the App or its content. Apple has no obligation to provide maintenance or support for the App. In the event the App fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App. Apple is not responsible for addressing any claims by you or a third party relating to the App, including product liability claims, claims of legal or regulatory non-compliance, and consumer protection claims. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You represent that you are not located in a country subject to a US Government embargo and are not on any US Government list of prohibited or restricted parties.

 

17. FORCE MAJEURE

COVERCALL LTD shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labour disputes, government action, power or internet failures, mobile network outages, or failures of third-party services or infrastructure.

 

18. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising in connection with these Terms or your use of the App shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer protection laws in your country of residence require otherwise. If you are a consumer in the EU, you may also have the right to use the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

 

19. CONSUMER RIGHTS

If you are a consumer (an individual using the App for personal, non-commercial purposes), nothing in these Terms affects your statutory rights under applicable consumer protection law, including the UK Consumer Rights Act 2015 or equivalent legislation in your country.

 

20. THIRD-PARTY SERVICES

The App integrates with third-party services including ElevenLabs, Google, Anthropic, RevenueCat, Google Maps Platform, Expo, Supabase, and Apple's App Store. Your use of these services through the App is subject to their respective terms and privacy policies. COVERCALL LTD is not responsible for the practices or content of third-party services.

 

21. CHANGES TO THESE TERMS

We reserve the right to modify these Terms at any time. Where changes are material, we will provide at least 14 days' notice via the App or email before the changes take effect. Continued use of the App after changes take effect constitutes acceptance of the updated Terms. If you do not accept the updated Terms, you should stop using the App and delete your account. We may also add, change, or remove App features from time to time.

 

22. SEVERABILITY AND NO WAIVER

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.

 

23. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy, constitute the entire agreement between you and COVERCALL LTD with respect to your use of StandBye and supersede all prior agreements, representations, and understandings.
